Branch or Subsidiary in Romania for a Foreign Company

A Romanian presence for your parent company, as a subsidiary SRL or as a branch, weighed on each form's conditions and filed from abroad.

  • Subsidiary: a separate SRL, at least 500 lei of capital (Law 239/2025)
  • Branch: the parent itself, 16% profit tax on its Romanian profit
  • Filed from abroad under a power of attorney (Law 265/2022)

The parent's board makes the choice before any Romanian document is signed.

A foreign company may set up a subsidiary, branch or representative office in Romania if its own law recognises that right.

A Romanian presence for a foreign company

We file a subsidiary (filială), an SRL the parent owns, or a branch (sucursală) of the parent. A foreign company may set up subsidiaries, branches or representative offices in Romania, in compliance with Romanian law and if its own law recognises that right (art. 44 Law 31/1990). The wider picture: forming a Romanian company as a non-resident.

A subsidiary is usually an SRL in Romania, one of the company forms of Law 31/1990; compare what a buyer inherits with a ready-made Romanian SRL.

What's included

Structure review before any document

The table below sets out what the Fiscal Code and Law 31/1990 attach to each form; your lawyer and registered tax consultant (OG 71/2001 art. 8(6)) apply it.

Subsidiary formation

The parent's resolution and the SRL's articles on standard forms the parent signs, with the beneficial owners in the constitutive act (art. 56(7) Law 129/2019).

Branch registration file

The parent's resolution creating the branch, naming its object and the person in charge; the statutory branch name; the manager's statements (art. 70, 73 Law 265/2022).

Power-of-attorney pack

The authentic power of attorney signed before a notary, apostilled, and a legalised Romanian translation of every foreign official document (art. 76, 79 Law 265/2022).

Name check and filing at ONRC

We check the name and file at the National Trade Register Office (ONRC) under the power of attorney, with any VAT request.

Filings at ANAF after registration

Under power of attorney: the branch's Form 013 (ANAF's non-resident permanent-establishment form) where ANAF requires it, its VAT registration, and a subsidiary's micro notice if chosen.

The next legal steps, coordinated

Office or branch seat, payment account, capital pay-in and the manager's D/AS visa, done by the office provider, bank, parent and Ministry of Foreign Affairs.

Where the service stops

No legal advice, bespoke drafting, accounting, payroll, tax returns or tax advice; no administrator or manager supplied. We promise no account: the bank opens it unless that would breach the AML or sanctions rules.

Subsidiary, branch or representative office: the conditions side by side

What the statute attaches to each form; which one fits your group is a conversation.

Foreign parent company

  • Subsidiary (an SRL)

In Romania: 16% profit tax or 1% micro tax

    Fiscal Code art. 17, 51(1)

Up to the parent, dividends: 16% withheld from 1 January 2026, capped by a treaty rate. An EU parent is exempt only if the subsidiary pays profit tax.

    Fiscal Code art. 224(4)(b), 229(1)(c), 230(1)

  • Branch (sucursală)

In Romania: 16% on the attributable profit, no micro option

    Fiscal Code art. 36(1), 47(1)

Up to the parent, a transfer to head office: not a dividend on the Code's definition. Its tax treatment is confirmed with a tax consultant.

Fiscal Code art. 7 pt. 11

A subsidiary takes the 1% micro tax or the EU dividend exemption, never both; a branch pays 16% on Romanian profit.

No total duration is promised for either lane. Whether the one working day covers a branch filing is not confirmed.

Each step with its statutory term, where one exists; no total duration is promised.
  1. Structure review

The parent, its lawyer and its tax consultant weigh the micro linkage and ceiling, the dividend condition and who administers.

  2. Parent resolution

The parent forms the SRL, subscribes at least 500 lei and appoints the administrator; a company may be sole member (art. 15 Law 31/1990). For a board, see SA company in Romania.

  3. Parent documents and power of attorney

Foreign official documents go in as originals, apostilled and translated into Romanian; the filer holds an authentic power of attorney or a lawyer's mandate.

  4. Name, office and articles

We check the name; articles go on standard forms; the office proof comes from our registered office service, an AML-regulated activity.

  5. Filing at ONRC

We or a lawyer file under the power of attorney, with any VAT request. The registrar has one working day (art. 105(1) Law 265/2022, 2022 text): the statute's term, not a promise.

  6. CUI and VAT

ANAF assigns the CUI, the fiscal identification code, on the data ONRC sends (art. 126(2) Law 265/2022); VAT requested at filing applies from registration.

  7. Payment account and capital

Payment account within 60 working days, which the bank opens unless AML or sanctions rules forbid it (Law 70/2015 art. 1(12), 1(14)); 30% of capital within 3 months, before trading; the cash balance within 12.

  8. Micro option, if chosen and eligible

Notice by 31 March (art. 55(2) Fiscal Code), which we file; a new company may opt from its first fiscal year, hiring within 90 days (art. 48(3)).

How a branch is registered

To open a branch office in Romania, the parent files these eight steps; no separate company is formed.

A pale paper item embossed with a postmark and script lettering on a dark surface
Signed and apostilled where the parent sits, then translated into Romanian for the file.
  1. Choice and parent resolution

The parent's meeting or board creates the branch, a permanent establishment (art. 36(1) Fiscal Code), naming its object and the person in charge.

  2. Branch name

The parent's name, the town of its seat, sucursală and the branch's town (art. 70(1) Law 265/2022). We run the name check.

  3. Branch seat

Proof of the branch seat, from the parent's own Romanian premises or our office, an AML-regulated activity.

  4. Parent documents

An EU or EEA parent files the standard list; others add the art. 74(2) Law 265/2022 documents listed below, apostilled and translated.

  5. Manager's statements

The manager signs the required statements; a foreign national gives a statement on their own responsibility instead of the Romanian fiscal-record check (art. 73(2)(e) Law 265/2022).

  6. Signing and filing

The person in charge signs in person or by authentic power of attorney, or a lawyer files (art. 79(2)). Registration precedes trading; whether the one-day term covers a branch is not confirmed.

  7. After registration

ONRC sends an extract to the parent's register through BRIS; we file Form 013 where ANAF requires it and VAT registration before the first taxable supply (art. 316(2)).

  8. Running the branch

Own Romanian accounts (art. 1(3) Law 82/1991); an EEA parent's annual accounting report, or a non-EEA parent's statements by 31 May (OMF 2.036/2025, financial year 2025). Documents show the J number of the Trade Register.

For the manager's D/AS visa and the founder's own route, see how a company founder obtains a Romanian residence permit.

Not sure whether a branch or a subsidiary fits your group?

Our plan sets out each form's statutory conditions and documents; your lawyer and tax consultant apply them to your group.

A person in an orange suit holding a closed black ring binder by a white door
Every foreign official document needs an apostille and a legalised Romanian translation, alongside the parent's resolution and power of attorney.

Documents the parent will need

  • The parent's resolution forming the SRL or creating the branch.
  • An authentic power of attorney, or a lawyer's mandate.
  • Apostille and legalised Romanian translation of every foreign official document.
  • Identity documents of the parent's representatives and the administrator or manager.
  • Proof of the registered office or branch seat.
  • Subsidiary: beneficial-owner data, in the constitutive act.
  • Subsidiary, after registration: the bank's KYC file and the capital pay-in.
  • Branch: the manager's statements, or a foreign national's statement on their own responsibility.
  • Branch: the parent's register, registration number and EUID if any.
  • Parent outside the EU and EEA: its articles with all amendments by an authorised translator, proof of seat, object and capital, a certificate of existence.
  • Later, a parent outside EU or EEA law: its annual accounts for the branch's register.

Problems we solve

A branch's VAT from the first supply

The 395,000 lei exemption is for businesses seated in Romania (art. 310(1) Fiscal Code), so a branch registers before its first taxable supply (art. 316(2)), unless it applies the art. 3102 scheme. We file it.

The 1% micro tax and the EU dividend exemption

The exemption needs a profit-tax payer (art. 229(1)(c)); a micro company pays micro tax instead. See which payments from Romania carry withholding tax and at what rate and our holding company service.

The micro threshold across a group

Linkage starts above 25% held in both companies; a holder's revenue counts only if it is a Romanian legal person (art. 47(11)(c)). Ceiling: EUR 100,000 in lei; one micro per member above 25%.

A foreign manager and the VAT file

For a subsidiary, a foreign administrator without Romanian tax residence, with capital under 45,000 lei, is a VAT risk criterion (Annex 6 pt. 5.1 of the VAT norms), checked after registration; its weight is unpublished.

A representative office sold without its conditions

No production, trade or services; a withdrawable authorisation; 18,000 lei a year (art. 236 Fiscal Code). Its authorising body, file and renewal are not confirmed, so we promise none.

Promised times and later conversions

Only the registrar's statutory term is printed; real processing times are not published. The texts we read show no branch-to-subsidiary route, so none is promised.

Is the dividend route back to the parent part of the decision?

We set out each form's micro, profit-tax and dividend conditions; applying them to your group is tax advice, which comes from a registered tax consultant.

Who prepares your branch or subsidiary file

  • Radu Ionescu

Formation and corporate changes lead, Bucharest. Romanian, English, French.

Forming companies is regulated by the anti-money-laundering law (Law 129/2019 art. 2(l)), so identity checks come first.

From our practice

We assemble the parent's file, file it under a power of attorney and track it to registration.

Frequently asked questions

Is the parent liable for the debts of a Romanian branch, and of a subsidiary?

A subsidiary is a separate Romanian company, and the members of an SRL answer only up to the subscribed capital (art. 3(3) Law 31/1990), so the parent's exposure is its contribution. A branch has no legal personality: it is the foreign company itself acting in Romania, so its obligations are the parent's. A Romanian lawyer advises on a specific group.

Can a Romanian subsidiary use the 1% micro tax, and what does that cost on dividends to an EU parent?

A branch never can: only a Romanian legal person qualifies. A subsidiary needs revenue within the EUR 100,000 ceiling, linked companies included, a full-time employee or an administrator paid at least the minimum gross wage under a mandate, and be the only micro of members above 25%. The EU dividend exemption needs a profit-tax payer, so the two never combine.

Does a branch have to register for VAT before it reaches 395,000 lei?

As a rule, yes. The 395,000 lei exemption is for a business seated in Romania (art. 310(1) Fiscal Code). A foreign company's fixed establishment registers for VAT before it carries out economic activities from it (art. 316(2)), unless it applies the special exemption scheme of art. 3102. We file that registration under the parent's power of attorney.

What withholding applies when profits go to the foreign parent?

Dividends distributed from 1 January 2026 bear 16% withholding, treaty-capped (art. 224(4)(b) Fiscal Code). An EU parent meeting the Code's conditions, with at least 10% held for an uninterrupted year to the payment date, is exempt if the subsidiary pays profit tax. A branch's transfer to head office is outside the dividend definition; ask a tax consultant.

Does a branch keep its own accounts in Romania, and what does it file each year?

A branch keeps its own Romanian accounts (art. 1(3) Law 82/1991). A branch of an EEA company files the annual accounting report; a branch of a non-EEA company files annual financial statements with ANAF by 31 May (financial year 2025), and a parent outside EU or EEA law also files its own annual accounts at the branch's trade register.

Which documents does a parent from outside the EU produce for a branch?

A parent from outside the EU and EEA files its constitutive act and articles with all amendments, translated by an authorised translator, documents on its seat, object and subscribed capital, and a certificate of existence from its home register (art. 74(2) Law 265/2022). Foreign official documents go in as originals with an apostille and a legalised Romanian translation.

How much capital does each form need?

A new SRL subsidiary needs at least 500 lei of capital since 18 December 2025 (art. VI(2) Law 239/2025). 30% is paid within 3 months of registration and before it trades in its name, the cash balance within 12 months (art. 91(2) Law 31/1990). The company and trade register laws set no capital for a branch.

Do we have to open a Romanian bank account?

A subsidiary does. Since 1 January 2026 every legal person holds a payment account in Romania or with the State Treasury, opened within 60 working days of formation; fine 3,000 to 10,000 lei (Law 70/2015 art. 12(4)). Whether this reaches a branch is not confirmed. A bank may refuse only on AML or sanctions grounds; we promise no account.

Can the documents be signed abroad, without travelling to Romania?

Yes, in the ordinary case. The parent signs an authentic power of attorney before a notary, apostilled and translated, and the attorney or a lawyer files (art. 79(1) Law 265/2022). The registrar can ask for physical presence where identity is suspected of forgery, but not where notaries or lawyers drew up the documents (art. 105(2), 2022 text).

How long does registration take?

The trade register law gives the registrar one working day to decide on the documents, under art. 105(1) Law 265/2022 in its 2022 text. That is the statute's term, not a promise of how long registration takes in practice, and whether it also governs a branch filing is not confirmed. Real processing times are not published.

What may a representative office do, and what does it pay?

A representative office has no legal personality and may not produce, trade or provide services; it needs an authorisation provided by law, which can be withdrawn. It pays 18,000 lei a year, prorated by months (art. 236 Fiscal Code), on Form 108 by the last day of February, and keeps Romanian accounts. The authorising body and procedure are not confirmed.

Can the manager of a branch or subsidiary get a Romanian visa?

A route exists. The D/AS long-stay visa covers the appointed manager of a subsidiary, branch or representative office of a foreign company, under the conditions the Ministry of Foreign Affairs publishes. The visa's documents and fee are set out on our business visa page; the decision on any visa rests with the Romanian authorities.

What qualifies a company as a subsidiary in Romania?

In Romanian company law a subsidiary (filială) is a company with legal personality, formed in one of the company forms and taking that form's legal regime (art. 42 Law 31/1990). A secondary seat of a company may not be set up under the name filială (art. 43(4)), so an office of the parent is never a subsidiary.

What does "subsidiary" mean in Romanian company law?

A foreign company may set up subsidiaries, branches, agencies, representative offices or other secondary seats in Romania, if its own law recognises that right (art. 44 Law 31/1990). Of these, only the subsidiary is a separate Romanian company with legal personality; the branch is an establishment of the parent without legal personality, and the representative office cannot trade.

What does "SRL company" mean, and why is a subsidiary usually an SRL?

SRL stands for societate cu răspundere limitată, the Romanian limited liability company. A legal person may be its sole member (art. 15 Law 31/1990), the members answer only up to the subscribed capital, and a subsidiary formed as an SRL takes the SRL's legal regime. Contracts between the SRL and its sole member are made in writing.
