Virtual Office in Bucharest for Companies Run from Abroad
A Bucharest address, its mail and a meeting room, under a contract that outlasts your plan, with the seat filing done for you.
- Paid address contract, term of more than one year
- Mail received, scanned and notified
- Seat change filed at the Bucharest trade register
- AML-regulated: we check the client and the beneficial owner
An address with a desk behind it, and a term someone watches.
A Bucharest address for a company managed from anywhere
A virtual office (birou virtual) gives a company a Bucharest address, a mail desk and a room to meet in: for a company in formation, one moving its seat here, or a foreign group's company run from abroad. The address can be the registered office (sediu social) the articles name (art. 7(b) Law 31/1990, text of January 2024).
An address is not a place of management, and tax law treats the two apart (art. 31(1)(c) Fiscal Procedure Code). A move here is a registrable change (mențiune), under the rules for changing the administrator or the seat. We are not a law firm and never act as member or administrator.
What's included
One contract: the address, its post, its filings.
A Bucharest address under a paid contract
A stated term of more than one year, usable as the registered office where you choose so.
Mail handling
Official and business post received, scanned and notified to you; forwarding on request.
Meeting room or day office
Booked on request, for meetings with banks, partners or your board.
Seat filing at the trade register
The standard documents your members sign, filed at the Bucharest trade register under a power of attorney.
Fiscal-domicile filing at ANAF
If the company is run from another place, we lodge its request with ANAF under your power of attorney; your tax consultant settles the facts.
Renewal tracking
The term watched against your plan, the renewal prepared before it ends.
Client due diligence
An address service is AML-regulated (art. 2(l)(3) Law 129/2019), so before signing we check who you are, who owns the company, why, and where it really sits.
What stays with your advisers
Legal drafting goes to a Romanian lawyer (art. 3(1)(c) Law 51/1995), tax advice to your tax consultant, bookkeeping to your CECCAR accountant.
What a Bucharest virtual office carries, and what it cannot
The address does four jobs in law and cannot do three. The seat contract itself is on the registered office page.
Law 31/1990 (January 2024 text), the Fiscal Procedure Code and the Fiscal Code as ANAF consolidates them.
| Function | Carried by the address? | The rule | Source |
|---|---|---|---|
| Registered office (sediu social) and the proof of seat in the file | Yes, where you choose so | The articles name the seat; the file carries proof of the declared seat | art. 7(b), 36(2)(c) Law 31/1990 |
| Fiscal domicile for central taxes | Only while the company is managed there | Otherwise the place of management, registered on request or set by ANAF ex officio | art. 31(1)(c), 32(1), (3) Fiscal Procedure Code |
| Fiscal domicile for local taxes | Yes | The registered seat; local tax acts go to a fiscal domicile registered under art. 32, if there is one | art. 39 Fiscal Procedure Code |
| Official correspondence | ANAF's paper acts, yes | They go by registered letter to the fiscal domicile; ONRC writes to the e-mail or phone in the application | art. 47(3) Fiscal Procedure Code; art. 72(1) Law 265/2022 |
| Place of effective management (tax residence of a foreign company) | No | A fact of where decisions are taken; a meeting room bears on it | art. 7 pt. 37, 81(2)(d) Fiscal Code |
| VAT fixed establishment | No | Needs sufficient technical and human resources in Romania | art. 266(2)(b) Fiscal Code |
| Working point (punct de lucru) | No | A secondary seat with no legal personality, mentioned in the registration at the main seat | art. 43(3) Law 31/1990 |
Invoices and orders print the registered office with the CUI (art. 128 Law 265/2022, 2022 text). What the address must carry is your advisers' call.
For a foreign company's own presence, see our branch or subsidiary service; for substance in Bucharest, our holding company service; for residence, how a company founder obtains a Romanian residence permit. We promise nothing on IGI accepting an address contract.

Scoping
Seat only, seat and management, or mail beside a seat elsewhere. We set out the criteria; you decide with your lawyer and tax consultant.
Client due diligence
We identify you, the beneficial owners, the purpose and the real seat if different (the beneficial owner register guide).
Address contract
Paid, for more than one year: not a free comodat (loan for use) of one year or less, not a lawyer's seat.
Filing at the Bucharest trade register
A new company files the address with its formation file; a moving company files the change within 15 days (Law 265/2022, 2022 text).
The registrar and ANAF
The statute gives the registrar one working day (art. 105(1) Law 265/2022), not a promise. A seat that is also the fiscal domicile moves it by law; the file follows within 15 working days.
Mail and notices
We receive, scan and notify; you act. An undelivered paper tax act counts as communicated 15 days after its notice is posted (art. 47(7) Fiscal Procedure Code).
Meeting room or day office
Booked on request. A room bears on where management is exercised, not on the registration of the seat.
Renewal, upgrade or exit
Renewal before the term ends. A fixed establishment, or staff on the company's own premises in Romania, call for premises beyond an address: a working point mentioned at the main seat.

Forming a company, or moving its seat, and need an address that outlasts the plan?
Tell us what the address must carry; we set the contract term against your plan and file the seat.

Documents you will need
The AML law sets most of this list (art. 11(1)(b)-(c), 15 Law 129/2019).
- Passport of each administrator and each beneficial owner.
- The beneficial-owner data and the purpose of the relationship.
- The real seat, where it differs from the address.
- For a corporate member: its constitutive act or registration certificate, with a legalised Romanian translation.
- The signed paid address contract, term over one year.
- For a seat change: the members' decision on the new seat.
- The new self-declaration on operating conditions.
- An authentic power of attorney, unless the legal representative signs.
- An e-mail address or phone number for ONRC notices.
The deadlines an address sets in Romanian law

Terms set by the Fiscal Procedure Code, Law 239/2025, Law 31/1990 and Law 265/2022 (2022 text).
| Event | What follows | Term | Source |
|---|---|---|---|
| Seat change decided | Filed at the trade register as a mențiune | Within 15 days | Law 265/2022, 2022 text |
| Registrar's decision | Registration of the change | One working day: the statute's term, not a promise | art. 105(1) Law 265/2022, 2022 text |
| Paper tax act not delivered by post | Published and deemed communicated | 15 days after the notice is posted | art. 47(7) Fiscal Procedure Code |
| Company not found operating at its fiscal domicile, or address data ANAF cannot use | Inactivity; reactivation needs ANAF to find it operating there | As ANAF finds it | art. 92(1)(b), (c), 92(51) Fiscal Procedure Code |
| Seat contract expired | Inactivity at ANAF; the registrar may find the company liable to dissolution | Inactivity: 30 days after ANAF's notice. Dissolution finding: the registrar's own procedure, no term linked to ANAF | art. 92(1)(g), 92(3) Fiscal Procedure Code; art. 2372(1)(a) Law 31/1990 |
| Inactive and not reactivated | Dissolution | One year, for companies declared inactive after 18 December 2025 | art. 92(41) Fiscal Procedure Code; art. VII(2) Law 239/2025 |
| Request for a fiscal domicile away from the seat | ANAF's decision | Within 15 working days | art. 32(2) Fiscal Procedure Code |
| No payment account in Romania, or annual accounts not filed within 5 months of the deadline | Inactivity, which no address cures | Grounds in force from 1 January 2026 | art. 92(12)(a)-(b) Fiscal Procedure Code; art. VII(1) Law 239/2025 |
Inactivity cancels the VAT code from the declaration date and costs customers their deductions (art. 316(11)(a), 11(7) Fiscal Code). A new company opens its payment account within 60 working days (Law 70/2015 art. 1(12)-(13), from 1 January 2026): the KYC file a Romanian bank asks a foreign founder for.
Trade register (ONRC)
- The registrar may find the company liable to dissolution (art. 2372(1)(a) Law 31/1990)
- The registrar's own procedure, with no term linked to ANAF
Tax authority (ANAF)
- A notice, then 30 days
- Declared inactive (art. 92(1)(g), 92(3) Fiscal Procedure Code)
- VAT code cancelled from the declaration; customers lose their deductions (art. 316(11)(a), 11(7) Fiscal Code)
- One year without reactivation
- Dissolution (art. 92(41))
The one-year rule applies to companies declared inactive after 18 December 2025 (art. VII(2) Law 239/2025).
Both lanes start when the address contract term ends. Renewal lands just before that point.
Problems we solve
Five questions an address file meets, and the text that decides each.

"Is this my tax address?"
Only while the company is managed there; ANAF can set the fiscal domicile elsewhere ex officio (art. 32(3) Fiscal Procedure Code). We file the request on your tax consultant's position.
Not found at the address
An inactivity ground; reactivation needs ANAF to find the company there (art. 92(1)(c), 92(51) Fiscal Procedure Code). We receive the post, and management is stated truthfully.
The seat and the VAT number
A paid contract is neither seat pattern of Annex 6 to the VAT norms (pt. 1.1, 1.2); other criteria count apart. See registering an SRL for VAT at ANAF.
A contract that runs out
Expiry is a dissolution ground and, after a notice and 30 days, an inactivity ground (art. 2372(1)(a) Law 31/1990; art. 92(3)). We prepare the renewal before the term ends.
"Can my real location stay private?"
Not from us: an address provider must ask for the real seat where it differs (art. 15(11) Law 129/2019) and keeps it in its AML records.

Is your address contract close to its end, or has an ANAF letter already arrived?
Send us the contract and the letter; we map the terms already running and line up a renewal or a new seat.
Why work with us
Formation and corporate changes lead, Bucharest. Eleven years on Romanian company files; Romanian, English, French.
From our practice
An address file first asks what the address must carry, where management sits and who reads the post. We work with a translator, a Romanian lawyer and your tax consultant.
Frequently asked questions about a virtual office in Bucharest
Can a Romanian SRL use a Bucharest virtual office as its registered office?
Yes, where the company chooses so. The articles name the registered office (art. 7(b) Law 31/1990), and the registration file carries proof of the declared seat (art. 36(2)(c)). The statute lists no document types, which deeds the trade register accepts is not settled in a current text, and neither is what a seat-change file carries.
Is the virtual office address my company's fiscal domicile?
Only while the company is managed there. The Fiscal Procedure Code makes the registered seat a legal person's fiscal domicile unless administrative management and the effective conduct of business are exercised somewhere else (art. 31(1)(c)). ANAF can set it ex officio (art. 32(3)). For local taxes it is the seat (art. 39(1)).
What happens if ANAF cannot find the company at the address?
Not operating at the declared fiscal domicile, or address data that do not let ANAF identify the company, are inactivity grounds (art. 92(1)(b), (c) Fiscal Procedure Code). Reactivation then needs ANAF to find the company operating there. A company declared inactive after 18 December 2025 and not reactivated within one year is dissolved.
Does a virtual office put the company's VAT registration at risk?
ANAF registers first and analyses risk afterwards (art. 316(9) Fiscal Code). Annex 6 to the VAT norms names two seat patterns: a lawyer's professional seat and a free comodat of one year or less, each without secondary premises. A paid address contract is neither. Staff, an accountant and the administrator's residence are separate criteria.
Is a seat at a lawyer's office safer than a commercial virtual office?
A lawyer may host a company's seat temporarily at the lawyer's professional seat (art. 3(1)(h) Law 51/1995). For VAT, though, a seat there with no secondary premises is Annex 6 criterion 1.1, and for excise operators a fiscal domicile at a lawyers' office is a listed risk signal in the Fiscal Code.
What happens if the address contract expires?
The registrar may find the company liable to dissolution (art. 2372(1)(a) Law 31/1990), and ANAF may declare it inactive 30 days after a notice (art. 92(1)(g), 92(3) Fiscal Procedure Code). Inactivity cancels the VAT code from the date of the declaration, and the company's customers lose their deductions on its invoices.
Why does the provider ask for passports, the beneficial owner and the real address of the business?
Providing a registered office or a postal or administrative address is a regulated service under the AML law (art. 2(l)(3) Law 129/2019). The provider identifies the beneficial owner and the purpose of the relationship (art. 11(1)(b)-(c)), asks for the real seat where it differs (art. 15(11)) and needs a Romanian translation of a foreign company's documents.
Who receives ANAF's and ONRC's letters, and what if one is missed?
ANAF sends paper acts by registered letter to the fiscal domicile (art. 47(3) Fiscal Procedure Code). If delivery fails, the act is published and deemed communicated 15 days after the notice is posted. Electronic acts count from the date they are made available. ONRC writes to the e-mail address or phone number given in the application.
How long does moving the seat to a Bucharest virtual office take?
The law sets terms, not a promise. The change is filed within 15 days with a new self-declaration (Law 265/2022, 2022 text), and the statute gives the registrar one working day (art. 105(1)). The fiscal file follows within 15 working days of the register entry. Real processing times are not published.
Can several companies use the same Bucharest address?
The current art. 17 of Law 31/1990 sets no limit on the number of companies at one address; the former paragraph (3) was repealed in 2021. How the trade register treats shared addresses in practice is not settled in an official text, so we make no promise either way on a given file.
Do meeting rooms matter legally?
Not for registration: no statute requires meeting space for a registered office. Meeting rooms bear on where management is exercised, which decides the fiscal domicile (art. 31(1)(c) Fiscal Procedure Code), and a foreign company claiming management in Romania produces the deed of use of its premises (art. 81(2)(d) Fiscal Code).
Is a virtual office enough for a VAT fixed establishment of a foreign company?
No. A fixed establishment for VAT needs sufficient technical and human resources in Romania (art. 266(2)(b) Fiscal Code), and a mail address is not one. Premises the company runs in Romania, such as an office for staff, are a working point, mentioned in the registration at the main seat (art. 43(3) Law 31/1990).
Is a virtual office worth it?
That depends on what the address must carry. It can carry the registered office, the local-tax domicile and ANAF's paper acts; it cannot carry the place of management, a VAT fixed establishment or staff. Which arrangement suits a company is a decision for its own advisers, and we are glad to set out the conditions.
How much does a virtual office in Bucharest cost?
Our price depends on what the address carries (a seat or mail only, meeting use, a seat-change filing) and is given on request. On the state side, no fee for a fiscal-domicile request appears in art. 31-32 of the Fiscal Procedure Code, and a fiscal-domicile change that follows a seat change needs no request at all.
Is a free virtual office in Bucharest a problem?
A free arrangement is a comodat, a loan for use. A seat held under a comodat of one year or less, with no secondary premises, is Annex 6 criterion 1.2 for VAT risk, which ANAF applies after registration (art. 316(9) Fiscal Code). A paid contract with a stated term is outside that criterion as written.
